Payment Terms and Conditions

I authorize Kleo, Inc. d/b/a ClassWallet ("ClassWallet") to instruct one or more financial institutions, including its originating depository financial institution(s) ("ODFI(s)"), to initiate Automated Clearing House ("ACH") credit entries (deposits) to the bank account that I previously provided on another page of this direct deposit form (the "Account") at my receiving depository financial institution ("RDFI"), and to initiate any additional ACH entries that are permitted or required under the National Automated Clearing House Association rules (the "NACHA Rules") to correct, reverse, adjust, or reinitiate an entry, including as the result of a return, reversal, adjustment, notice of change, or other ACH processing event.

This authorization is effective as of the date and time I click the “Submit” button (or similar submission control) and the ClassWallet platform successfully saves the Account information I submitted (the "Effective Date"). I represent and warrant to ClassWallet that all Account information I have provided (including the Account number, routing/transit number, account type, and the identity of the account holder) is true, accurate, current, and complete to the best of my knowledge, and I agree that I will bear responsibility and liability for, and hold ClassWallet harmless from, misdirected, erroneous, delayed, rejected, returned, or failed payments or deposits to the extent caused by inaccurate, incomplete, or outdated information I provided. I acknowledge that ClassWallet’s role is limited to transmitting the bank and routing information that I provide to the ODFI(s) and other financial institution(s) used to originate ACH payments in connection with the instruction and processing of those payments, and that ClassWallet does not verify that the Account information I provide is correct or that the Account can accept ACH credits. I acknowledge and agree that submission of my Account information to ClassWallet does not guarantee that I will be paid by any other person or entity, and that ClassWallet has no responsibility or liability for any amounts owed to me by any other party. I further acknowledge and agree that any ACH deposits that may be made to me are subject to the NACHA Rules, the terms, conditions, cutoffs, and funds-availability policies and procedures of ClassWallet’s financial institution(s) (including the ODFI(s)) and my financial institution (the RDFI), and applicable law, and that I will comply with all of them.

I acknowledge and agree that ClassWallet is not, and will not be, liable for any delay in the receipt of funds, any failure by me to receive funds, or any error in the information used to process an ACH entry to the extent caused by me or any third party (including program administrators or end users of the ClassWallet platform), or by the acts or omissions of any financial institution, network, or payment system, including the ACH Network.

This authorization will remain in effect until I revoke it, and I may revoke it at any time; however, revocation will be effective only upon the earliest of: (i) my deletion or removal of the Account from the ClassWallet platform, or (ii) my emailing written revocation notice to ClassWallet’s help desk at help@classwallet.com; provided that, in each case, ClassWallet must be given at least ten (10) business days after the applicable revocation event to have a reasonable opportunity to act on the revocation (the "Effective Revocation Date"). I understand and agree that revocation will not apply to, and will not affect, any ACH entry that ClassWallet and/or its ODFI(s) initiated before the Effective Revocation Date (including any correcting, reversing, or adjusting entry permitted under the NACHA Rules), and that such entries may still be processed, settled, returned, reversed, corrected, or adjusted in accordance with the NACHA Rules, applicable law, and the rules and procedures of the applicable financial institutions.
